Non-Circumvention Agreement

Document Description

One party (the “Discloser”) has introduced a business opportunity or a third party to a Recipient whereby the Recipient agrees for the term of this Agreement not to take any action, direct or indirect, to circumvent Discloser in its relationship with the disclosed opportunity or source, or to do any business with the disclosed source without the express written consent of the Discloser which can be withheld for any reason at all.

Example Usage: Non-circumvention agreements are used in a variety of circumstances but one common example would be a broker who desires to introduce two parties together and does not want the parties to do a deal on their own while cutting out the broker.
